This exclusion covers all types of loss and damage, including without limitation any direct, indirect, incidental, special, consequential, or punitive loss or damage, loss of profits, loss of revenue, loss of data, loss of goodwill, or any other economic loss.

5. Limitation of Liability in Respect of Security Services

5.1 General Limitation

Imperial Security provides a wide range of professional security services across the United Kingdom, including but not limited to: Security Guard Services, Door Supervision, Event Security, Hotel and Concierge Security, Corporate Security, Retail Security, Close Protection Bodyguard Services, Educational Security, Construction Site Security, Warehouse Security, Key Holding Services, CCTV Monitoring, Night Security, Mobile Patrol Services, Relief Security Guard Services, Crowd Management Services, and Doorman and Bouncer Security.

Whilst Imperial Security deploys SIA-licensed, professionally trained, and thoroughly vetted personnel in the delivery of all services, no security provision whether manned guarding, electronic surveillance, remote monitoring, or any combination thereof can provide an absolute guarantee against all criminal acts, security incidents, property damage, personal injury, or loss.

Imperial Security shall not be liable for any loss, damage, injury, or claim arising from circumstances that are beyond the reasonable control of our security personnel or management, including but not limited to unforeseen criminal acts of sufficient sophistication or force to overcome professional security measures, acts of terrorism, civil unrest, or events constituting force majeure.

5.2 Security Guard and Manned Guarding Services

Our security guards are deployed to act as a visible deterrent, to monitor and control access, and to respond to incidents in accordance with their training and operational remit. Our liability in relation to security guard services is limited to ensuring that guards are appropriately SIA-licensed, vetted in accordance with British Standard BS 7858, and trained to relevant industry standards.

Imperial Security shall not be liable for any loss, theft, damage, or harm that occurs despite the presence of our security personnel, nor for any actions or omissions of a security guard that fall outside the scope of their authorised operational remit. The extent of a security guard's authority and responsibilities shall be as agreed in the applicable service contract.

5.3 Door Supervision Services

Door supervisors engaged by Imperial Security hold valid SIA Door Supervisor licences and are trained in conflict management, physical intervention, search procedures, and licensing law compliance. Notwithstanding this, Imperial Security cannot guarantee that the actions or decisions of a door supervisor will prevent all incidents of violence, disorder, or property damage at a licensed venue.

Imperial Security's liability in respect of door supervision services shall be limited to circumstances of proven gross negligence or wilful misconduct directly attributable to one of our door supervisors. Liability shall not extend to incidents arising from the actions of third parties, including patrons, visitors, or members of the public, nor to any regulatory decisions made by a licensing authority in respect of a client's premises.

5.4 Event Security Services

Imperial Security's event security services are delivered by experienced security professionals trained in crowd management, access control, emergency response, and coordination with statutory emergency services. The delivery of event security is subject to the client providing accurate and complete information about the nature, scale, and risk profile of the event.

Imperial Security shall not be liable for any incident, injury, loss, or damage arising from inaccurate or incomplete event information provided by the client, any failure by the client or event organisers to implement agreed security measures or instructions, actions of third parties including event attendees, performers, or contractors, or any failure of third-party infrastructure including communication systems, barriers, or access control technology not provided by Imperial Security.

5.5 Close Protection Bodyguard Services

Close protection officers provided by Imperial Security hold appropriate SIA Close Protection licences and have backgrounds in specialist security disciplines. Clients acknowledge that close protection cannot guarantee the absolute safety of a protected person in all circumstances and that risk cannot be entirely eliminated through any security measure.

Imperial Security shall not be liable for any harm, injury, or loss sustained by the principal or any third party resulting from events of an unpredictable, unprecedented, or overwhelming nature, nor for circumstances in which the client or principal has acted contrary to the operational security advice of our close protection officers.

5.6 Key Holding Services

Key Holding services provided by Imperial Security involve the secure storage of client keys and the deployment of a response officer to a client's premises upon receipt of an alarm activation or other agreed trigger. Whilst every care is taken in the secure storage and management of client keys, Imperial Security's liability in the event of key loss, theft, or misuse shall be limited to the direct costs of key replacement and lock changes, as agreed in the applicable service contract.

Imperial Security shall not be liable for any consequential or indirect losses arising from a failure or delay in response caused by circumstances outside our reasonable control, including adverse traffic conditions, road closures, or acts of third parties.

5.7 CCTV Monitoring Services

CCTV monitoring services provided by Imperial Security involve the remote observation of client premises via digital surveillance systems. Imperial Security shall not be liable for any loss or incident arising from equipment failure, signal loss, or technical faults in surveillance systems not supplied, installed, or maintained by Imperial Security.

Imperial Security shall not be liable for any incident that occurs beyond the field of view of installed cameras, nor for any failure to prevent an incident that could not reasonably have been anticipated or intercepted via remote monitoring alone.

5.8 Educational Security Services

Security personnel deployed in educational settings are DBS-checked, fully vetted, and trained to understand the safeguarding obligations applicable within schools, colleges, and universities. Imperial Security's liability in connection with educational security services shall be as agreed in the relevant service contract and shall not extend to matters within the exclusive jurisdiction of the educational institution, including safeguarding decisions, disciplinary proceedings, or the conduct of students, staff, or visitors.

5.9 Construction Site and Warehouse Security

Security services provided for construction sites and warehouse operations are delivered by personnel who understand the specific hazards and access control requirements of such environments. The client remains responsible for ensuring that their site or facility complies with all applicable health and safety legislation, and Imperial Security shall not be liable for any accident, injury, or regulatory breach arising from the client's failure to maintain a safe working environment.

6. Aggregate Financial Liability Cap

Notwithstanding any other provision of this Disclaimer, and to the fullest extent permitted by applicable law, the aggregate liability of Imperial Security to any client or third party, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not in any circumstances exceed the total fees paid by the client to Imperial Security in the twelve (12) months immediately preceding the event giving rise to the claim, or such sum as is specified in the applicable service contract, whichever is lower.

This cap on liability applies to all claims collectively and shall not be interpreted as entitling a party to recover the full capped amount for each individual claim.

7. Losses Not Covered

To the maximum extent permitted under English law, Imperial Security shall not be liable to any party for any of the following categories of loss, howsoever arising:

  • Loss of profits, revenue, or anticipated savings;
  • Loss of business or contracts;
  • Loss of data or information;
  • Loss of goodwill or reputation;
  • Business interruption losses;
  • Indirect, special, or consequential losses of any nature;
  • Any loss arising from the failure of a third-party system, product, or service;
  • Any loss arising from circumstances beyond our reasonable control.

These exclusions apply regardless of whether Imperial Security was advised of the possibility of such losses.

8. Preservation of Statutory and Consumer Rights

Nothing in this Disclaimer shall limit or exclude Imperial Security's liability for death or personal injury caused by our own negligence or the negligence of our employees, agents, or subcontractors acting in the course of their employment or engagement.

Nothing in this Disclaimer shall limit or exclude Imperial Security's liability for fraud or fraudulent misrepresentation, any breach of the terms implied by sections 3 to 5 of the Supply of Goods and Services Act 1982, any other liability that cannot lawfully be excluded or limited under English law, or any liability arising under the Defective Products (Consumer Protection Act 1987).

Where any of our clients are consumers within the meaning of the Consumer Rights Act 2015, statutory rights applicable to consumer contracts are preserved in full and are not affected by this Disclaimer.

9. Third-Party Websites and External Links

This Website may contain hyperlinks to third-party websites, services, or resources that are not owned, operated, or controlled by Imperial Security. These links are provided solely for your convenience and information. Imperial Security does not endorse, recommend, or accept any responsibility for the content, accuracy, products, services, or practices of any third-party website or resource.

Your access to and use of any third-party website linked from this Website is entirely at your own risk and is subject to the terms and conditions and privacy policies of those third-party sites. Imperial Security shall have no liability for any loss or damage arising from your use of any such linked sites.

10. Professional Standards and Regulatory Compliance

Imperial Security operates in full compliance with all applicable legislation and regulatory requirements governing the private security industry in the United Kingdom, including but not limited to the Private Security Industry Act 2001 and all regulations made thereunder, the Security Industry Authority (SIA) licensing requirements, the Health and Safety at Work etc. Act 1974 and associated regulations, the General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, and the Equality Act 2010.

All security personnel deployed by Imperial Security hold valid SIA licences appropriate to their role. However, the existence of regulatory compliance and professional accreditation does not constitute, and should not be interpreted as, a guarantee of outcome in any particular security engagement.

Clients are reminded that they retain certain legal responsibilities as occupiers or operators of premises, including obligations under the Occupiers' Liability Act 1957, the Licensing Act 2003 (where applicable), and all relevant health and safety legislation. Imperial Security's services are intended to supplement, not replace, a client's own risk management and legal compliance obligations.

11. Client Indemnity

The client agrees to indemnify, defend, and hold harmless Imperial Security, its directors, officers, employees, agents, and subcontractors from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Any breach by the client of their obligations under any service contract with Imperial Security;
  • Any inaccurate, incomplete, or misleading information provided by the client that has been relied upon by Imperial Security in the delivery of services;
  • Any failure by the client to comply with applicable law, regulations, or licensing requirements in relation to their premises or operations;
  • Any claim brought by a third party arising from the client's negligence, wilful misconduct, or breach of duty;
  • Any act or omission of the client that compromises the safety of Imperial Security's personnel.

12. Force Majeure

Imperial Security shall not be liable for any failure or delay in the performance of its obligations under any service contract or arrangement to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, floods, severe weather conditions, acts of terrorism, civil disorder, strikes or industrial action (other than those involving our own employees), pandemic or epidemic, government action or regulation, or failure of third-party communications networks.

In the event of a force majeure occurrence, Imperial Security shall notify the client as soon as reasonably practicable and shall take all reasonable steps to minimise the impact of the relevant circumstances on service delivery.

13. Governing Law and Jurisdiction

This Disclaimer, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales.

Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Disclaimer or its subject matter or formation. Imperial Security reserves the right to bring proceedings against a client in the courts of any other jurisdiction where the client is domiciled or has assets.

14. Amendments to This Disclaimer

Imperial Security reserves the right to amend, update, or replace this Disclaimer at any time without prior notice. Any changes will be effective immediately upon publication on this Website, with the 'Last Updated' date revised accordingly. Your continued use of this Website or our services following the publication of any revised Disclaimer constitutes your acceptance of the updated terms.

We encourage you to review this Disclaimer periodically to ensure you are aware of any changes that may affect you. If you have any questions regarding any amendment to this Disclaimer, please contact us using the details provided below.

15. Severability

If any provision of this Disclaimer is found by a court or other competent authority to be invalid, unlawful, or unenforceable in any respect, that provision shall be deemed severed from the remaining provisions, which shall continue to be valid and enforceable to the fullest extent permitted by law. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable.

16. Waiver

No failure or delay by Imperial Security in exercising any right, power, or remedy under this Disclaimer shall operate as a waiver of that right, power, or remedy, nor shall any single or partial exercise of any right, power, or remedy preclude any further exercise of the same or any other right, power, or remedy. Any waiver granted by Imperial Security shall only be effective if made in writing and signed by a duly authorised representative.

17. Relationship to Contractual Agreements

This Disclaimer is a general statement of liability applicable to all persons accessing our Website and engaging with our services. It is not intended to, and does not, supersede or replace any specific terms and conditions agreed between Imperial Security and a client in a formal service contract. Where a formal written service contract exists, the terms of that contract shall govern the relationship between Imperial Security and the client in all matters pertaining to the provision of security services.

In the event of any inconsistency between this Disclaimer and any formal contractual agreement, the terms of the formal contractual agreement shall prevail to the extent of the inconsistency.
